Robert Kligerman has for over 40 years been providing legal services focused on real estate, corporations and business to individuals and businesses from many distinctive cultural backgrounds including Chinese, Vietnamese, Malaysian, Portuguese, Middle-Eastern, Italian, Indian, Pakistani, Korean and African. These legal services include the following areas:
Commercial Real Estate – providing the legal services and support necessary for the successful completion of real estate ventures including calling upon and co-ordinating with other professionals whose services are often necessary, including environmental engineers, architects, surveyors, planners and construction consultants.
Residential Construction – including assisting with new in-fill homes which often require assistance with issues unique to this type of building, including severances, custom agreements of purchase and sale, Tarion registration and HST matters.
The acquisition of Development Lands – which require the careful preparation of purchase agreements including dealing with deposits, conditional periods, financial terms and environmental issues.
Retail Commercial and Residential Developments – providing the expert, timely, focused legal services needed for such developments and co-ordinating with the other professionals needed to complete such projects and always anticipating well in advance the needs of lenders, municipalities and tenants.
Leasing – extensive experience in acting for commercial landlords and tenants from the preparation of the letter of intent/offer to lease to the lease.
The Purchase or Sale of a Business, be it of assets or shares – There is much to consider in these transactions including HST, PST, employees, intellectual property and non-competition/non-solicit issues. Also specific businesses, such as collision repair, restaurants, dry cleaning, manufacturing facilities and professional practices have their own unique requirements.
Business Agreements – assisting with partnerships, joint ventures, co-ventures, shareholder agreements, employment agreements, non-competition/non-solicit clauses, restrictive covenants, distributorships, agency and management agreements.
Incorporation and Corporate Maintenance – Ontario and Federal incorporations and the efficient maintenance of corporate records.
Corporate Restructuring – including capital gains crystallizations, purifications, roll-overs and other tax related issues.
