Paul De Luca’s practice focuses on corporate and securities law, with a particular emphasis on corporate finance, public and private mergers and acquisitions, going private transactions, corporate governance, venture capital and private equity transactions and cybersecurity and data protection matters.
Paul has particular expertise in planning, negotiating and implementing mergers and acquisitions, initial public offerings, reverse takeovers and other going public transactions on the Toronto Stock Exchange and TSX Venture Exchange, including extensive experience in complex cross-border transactions. Paul has also led numerous private placements on behalf of both issuers and underwriters. He is regularly consulted by the Toronto Stock Exchange and TSX Venture Exchange in connection with the listing of U.S. companies.
Paul advises a number of public companies in connection with Canadian securities law compliance and corporate governance matters, including ongoing advice to boards of directors and board committees.
Paul also advises clients, trade groups and organizations regarding cybersecurity and data protection matters, including compliance and development of prevention and breach response strategies.
As part of his corporate practice, Paul acts for domestic and foreign companies in the acquisition and disposition of, or investment in, businesses across a broad range of industries, with a particular focus on the technology and cleantech sectors.
Paul holds an LL.B. from Queen’s University and an LL.M. in corporate finance and securities law from New York University. Prior to joining Owens Wright LLP, Paul practiced with a national law firm.
