Capital Pool Company Program

The Business Law Practice Group at Owens, Wright LLP regularly advises venture capitalists and business owners through all stages of the Capital Pool Company ("CPC") program administered by the TSX Venture Exchange Inc.

The CPC program provides businesses with a unique means of sourcing capital and public company management expertise. It is available to development stage companies that want to become public at a time when a traditional IPO may not be suitable.

The CPC program consists of two stages. The first stage is the formation of a capital pool company and the completion of its IPO. The second stage involves the CPC seeking out and acquiring a business that meets the minimum listing requirements of the TSX Venture Exchange. Once the CPC has completed its "qualifying transaction" and acquired an operating company, its shares continue trading as a regular listing on the TSX Venture Exchange.

We have experience advising on:

  • capital pool company formations
  • initial public offerings
  • private placements
  • structuring qualifying transactions
  • stock option administration
  • securities regulatory compliance

If you want to raise money in the public markets or are a successful private company thinking about going public, you should consider whether the Capital Pool Company program is suitable for you.
